GE Vernova to Acquire Trench Group for $9 Billion in Major Push into High-Voltage Grid Equipment

28 Oct 2026     Author: Astute Analytica

GE Vernova Inc. (NYSE: GEV) has signed a definitive agreement to acquire Trench Group, a global provider of high-voltage grid equipment, from investment firm Triton Partners in a transaction valued at $9.0 billion USD equivalent. GE Vernova said the acquisition will expand its Electrification business as utilities, data-center operators, and governments increase investment in grid modernization and energy security. As per Astute Analytica, the grid enhancing technologies market is estimated at USD 2.0 billion in 2025 and is projected to reach USD 16 billion by 2035, growing at a CAGR of 23.3% over the forecast period 2026–2035.

Deal Terms

GE Vernova will pay the $9.0 billion purchase price at closing, currently expected to be funded equally between cash and debt. The company said the price represents 13 times Trench’s expected 2028 adjusted EBITDA before synergies.

The transaction is expected to close in late 2027, subject to customary regulatory approvals and legally required consultations with employee representatives. Until then, GE Vernova and Trench will continue to operate independently.

Why the Deal Matters?

Trench makes high- and medium-voltage bushings, instrument transformers, and coils—components used to connect, measure, and maintain reliability in power grids. GE Vernova said the acquisition will vertically integrate an existing supplier and strengthen its two largest Electrification businesses: Grid Systems Integration and Power Transmission.

The deal comes as electricity demand rises from electrification, industrial growth, and data-center expansion. GE Vernova said Trench’s products are used in the majority of high-voltage direct-current lines built globally, giving the company greater access to a high-voltage equipment market it expects to reach about $130 billion by 2030.

Trench’s scale

Headquartered in Berlin, Trench has more than 130 years of engineering heritage, more than 3,000 employees, and manufacturing operations across 11 sites in Europe, North America, and Asia. It serves more than 800 utilities and hyperscalers worldwide.

GE Vernova said Trench expects $1.9 billion in revenue in 2028 at an approximately 36% adjusted EBITDA margin. The company also cited roughly $5 billion in Trench backlog and framework agreements, some extending into the next decade.

Strategic and Financial Outlook

GE Vernova said the acquisition is intended to increase manufacturing capacity, geographic reach, and customer coverage while supporting the growing global need for transmission infrastructure. It also highlighted Trench’s newly opened facility in Charlotte, North Carolina, where manufacturing of 765kV equipment is expected to begin in late 2027.

The company said it expects annual interest costs of about $0.2 billion from the debt portion of the funding and remains committed to maintaining an investment-grade balance sheet. GE Vernova expects its debt-to-adjusted-EBITDA ratio to remain below 1x after the transaction.

GE Vernova CEO Scott Strazik said the acquisition offers “immediate earnings visibility and long-term strategic value,” citing Trench’s margin profile and multiyear backlog.
